Senior Funds Solicitor - In-House - New Role
Extensive exposure to fund Launch, amalgamation and the winding up of funds are base line requirements for this position. You will have a strong understanding of regulatory elements and be capable of interacting with regulatory bodies on key issues.
Additional Responsibilities:
Manage and provide direction to the legal team (currently consisting of a funds lawyer and administrative support);
Comprehensive review of all fund documentation for investment fund clients ("funds") serviced by the company and/or its affiliates, including reviewing offering documents, subscription documents, constitutive documents and material agreements;
Drafting and negotiating agreements between the company and its clients in connection with the provision of administration, custody and middle office services. The company provides services to a comprehensive range of funds including Irish regulated funds, exchange traded funds, hedge funds and property funds;
Drafting and negotiating agreements in connection with securities lending;
Advising the company on cross border regulations affecting the provision of services to company clients;
Acting as a point of contact for in-house legal queries in connection with the business of the company and providing internal legal advice to the company on all matters including the impact of legislative and regulatory changes which affect the business of the company or its affiliates;
Reviewing and negotiating legal contracts and other agreements to be entered into between the company and external parties in connection with its business;
Where appropriate engage and manage the use of external counsel on various matters;
Assist in regulatory and internal audit inspections and in developing internal policies
Assist in the provision of training to the company's staff
Advise on product development matters;
Prepare reports on legal matters for internal senior management as appropriate.
